GENERAL JOB DESCRIPTION
 
Legal Counsel required to join our client in Aberdeen, supporting their offshore business.

THE SUCCESSFUL APPLICANT
 
  • Recognised legal degree in English Law (or other common law jurisdiction). Other jurisdictions will be considered on a case by case basis.
  • 7+ years PQE with minimum 3 years in oil and gas, construction or related industry.
  • Strong contracts law skills and drafting experience
  • Experience in negotiating large complex transactions involving sets of interrelated agreements and legal documents
  • Strong preference for direct experience negotiating FPSO contracts
  • Comfortable working within a multi-disciplined team, with various stakeholders and across functions
  • An organized, systematic approach; self-starter / proactive; able to multi-task and still meet deadlines
  • Ability to independently prioritize tasks and deliver
  • Excellent verbal and written communication skills in English
 
JOB DESCRIPTION
 
  • Providing legal support, including:
    • Supporting the Business Development Department by reviewing, commenting, drafting FPSO lease and operation agreements.
    • Acting as a key negotiator, together with Business Development Managers, in relation to FPSO contracts.
    • Coordinating and analysing input from the Tax, Insurance and Finance Departments.
    • Managing the role of external legal advisors during the tender stage.
    • Together with business colleagues and other stakeholders, managing the various aspects relating to financing, corporate structuring, project security packages, FCPA compliance activities, regulatory requirements and jurisdictional due diligence processes as part of the FPSO tender process.
    • Taking responsibility for all contract close out activities
    • In coordination with Business Development colleagues, providing legal and risk input to update management through Investment Committee and Board memos.
  • Assisting business colleagues with all pre-tender work relating to expressions of interest, Front-End Engineering & Design (FEED) contracts, joint venture partnering and framework agreements.
  • Drafting /negotiating main subcontract terms and conditions.
  • In relation to large shipyard contracts, taking responsibility for the legal aspects associated with vessel delivery at the end of the construction phase.
  • Legal Support to project management teams; following key subcontracts through to transition into operations.
  • Assisting with joint venture activities and shareholder agreements.
  • Provide legal support to the business during project and operations phases, including in claims and contract management, advices, contractual interpretation and renegotiation activities.
